U.S. LLC & Corporation Formation
U.S. Entity Formation Built for Banks, Not Just the State Registry
Anyone can file Articles.
Very few structure entities that stand up to real institutional scrutiny.
For international founders, formation is not about obtaining a certificate, it is about building a compliant U.S. presence that banks, payment processors, and regulators accept from day one.
We design formation structures with long-term operational stability in mind.
Why Proper Structuring Matters
Foreign-owned entities are reviewed differently. Banks assess documentation consistency. Payment processors evaluate risk alignment. The IRS expects ongoing reporting compliance.
A poorly positioned structure may lead to:
Banking friction
Compliance exposure
Operational instability
We assess ownership, nationality, business model, and long-term objectives before any filing is submitted.
Formation is the beginning of infrastructure, not the end of it.
Choosing the Right Structure
LLC and Corporation structures serve different purposes.
The appropriate choice depends on:

Your country of residence

Tax exposure

Capital raising plans

S-Corp eligibility

Long-term strategic objectives
We evaluate these factors before recommending a structure.

Common Questions
Frequently Asked Questions
Do I need to visit the United States to form a company?
The majority of our clients complete the entire formation process remotely from their home country. State filings, registered agent appointment, and document delivery are all handled without requiring physical presence in the United States.
Which state should I form my company in Wyoming or Delaware?
The right choice depends on your business model, banking strategy, privacy preferences, and long-term goals. Wyoming is generally preferred for privacy, lower ongoing costs, and straightforward maintenance. Delaware is preferred for venture-backed startups, institutional investors, and businesses planning to raise capital from U.S. investors. We assess your specific situation and recommend the appropriate state during the consultation.
What is the difference between an LLC and a Corporation?
An LLC, Limited Liability Company offers flexible management structure, pass-through taxation by default, and lower administrative requirements. A Corporation typically a C-Corp is a separate legal entity with shareholders, a board of directors, and more formal governance requirements. C-Corps are the standard structure for venture-backed companies and businesses planning to issue equity to investors. We review your goals and recommend the appropriate entity type before proceeding.
How long does formation take?
In most cases, formation is completed within 1 business day after all required information is confirmed and submitted. State processing times may vary slightly depending on filing volume. We set clear expectations before beginning.
Will this company make me liable to pay U.S. taxes?
Not automatically. Tax liability depends on your country of residence, citizenship, whether the company has U.S.-sourced income, and applicable tax treaties. Foreign-owned U.S. entities do have specific IRS reporting requirements regardless of tax liability. We review your situation individually and work with licensed professionals to ensure your structure is correctly positioned from day one.
Will forming a U.S. company give me access to U.S. banking?
Formation is the foundation, but it does not automatically guarantee banking access. Banks evaluate your full documentation picture including ownership structure, tax identification, address consistency, and business activity description. We structure your formation with banking access in mind from the beginning, which significantly improves your position when approaching institutions.
What is a Registered Agent and why do I need one?
A Registered Agent is a designated individual or entity authorized to receive legal and state correspondence on behalf of your company. Every U.S. LLC and Corporation is required by state law to maintain a registered agent with a physical address in the state of formation. We include one year of registered agent service with every formation.
What documents will I receive after formation?
You will receive your Articles of Organization or Articles of Incorporation, your Operating Agreement or corporate bylaws, your EIN confirmation, and all relevant state-issued documents. These form your complete corporate documentation package and are required for banking, payment processor applications, and institutional relationships.
Can I form a company if I am not a U.S. citizen or resident?
Yes. U.S. LLCs and Corporations can be formed and owned entirely by non-U.S. citizens and non-residents. There are no citizenship or residency requirements for ownership. However, foreign ownership does trigger specific IRS reporting obligations that must be addressed from the beginning. We structure your entity with these obligations in mind.
What happens after formation, what do I need to maintain?
Every U.S. entity has ongoing maintenance requirements including annual state reports, registered agent renewal, and IRS reporting obligations for foreign-owned entities. Failure to maintain these can result in penalties, loss of good standing, or entity dissolution. Our Ongoing Compliance & Support service is designed specifically to handle these requirements so nothing is missed.
Can I upgrade my structure later, for example add a Trust or elect S-Corp status?
Yes. Many clients start with a foundational LLC and expand their structure as their business grows. Trust formation, S-Corp election, privacy layers, and advanced asset protection structures are available through our Advanced Structuring & Asset Protection service. We design your initial entity with future flexibility in mind.
Build your U.S. entity correctly from day one.
Your foundation determines everything that comes after.
