• Inaccurate or incomplete information may result in service failure, government penalties, or institutional rejections
• We bear no liability for outcomes resulting from information you provide that is false, incomplete, or misleading
2.3 Lawful Use
You agree that you will not use our services for any unlawful purpose, including but not limited to:
• Tax evasion or fraudulent tax filings
• Money laundering or financial fraud
• Misrepresentation of ownership, business activity, or identity to banks or government agencies
• Any activity that violates U.S. federal, state, or applicable international law
2.4 Right to Refuse Service
We reserve the right, at our sole discretion and without obligation to provide a reason, to decline, suspend, or terminate any engagement. We may refuse service if we determine that a client’s profile, business model, or requested services present legal, compliance, or reputational risks.
3. Engagement and Service Initiation
3.1 Consultation First
All service engagements begin with a direct consultation. No work is initiated until eligibility has been reviewed and a formal agreement or payment has been confirmed.
3.2 Scope of Work
The specific scope of services to be provided will be confirmed in writing prior to engagement. Services outside the agreed scope may incur additional fees.
3.3 Client Cooperation
You agree to provide all required documents, information, and responses in a timely manner. Delays caused by failure to provide requested materials may extend timelines and do not entitle you to a refund.
3.4 Client Abandonment
If you become unresponsive for 30 consecutive calendar days after work has begun, we reserve the right to suspend or close your engagement without refund of fees already applied to work performed.
4. Fees, Payment, and Government Costs
4.1 Service Fees
Our service fees are as published on WeUSAServices.com or as agreed in writing prior to engagement. All fees are stated in U.S. dollars unless otherwise specified.
4.2 Payment in Advance
Fees are due in full prior to the commencement of services unless an alternative payment arrangement is agreed in writing. Receipt of payment constitutes your agreement to these Terms.
4.3 Government and Third-Party Fees
State formation filing fees required to register your entity are included in applicable packages where explicitly stated. The following are not included in our service fees unless explicitly confirmed in writing:
• State annual renewal fees or franchise taxes
• Registered agent renewal fees after the first year
• Annual report fees beyond the first year
• IRS processing fees (if applicable)
• Third-party bank, processor, or institution fees
• Legal fees for matters requiring licensed attorney representation
You are solely responsible for any government fees, fines, penalties, or third-party costs arising from your entity’s obligations, regardless of whether we assisted with setup.
4.4 Price Changes
We reserve the right to modify our pricing at any time. Price changes will not affect services already paid for and in progress.
4.5 Recurring Services
Ongoing services such as bookkeeping, compliance monitoring, and annual filings are subject to recurring fee arrangements. You may cancel recurring services by providing 30 days written notice. Fees accrued prior to cancellation are non-refundable.
4.6 Late or Failed Payments
Failure to make timely payment may result in suspension or termination of services. We reserve the right to pursue recovery of unpaid fees through applicable legal channels.
5. Refund Policy
5.1 General Non-Refundability
Due to the nature of our services, which involve professional time, licensed expertise, document preparation, and government filings, fees are generally non-refundable once work has commenced.
5.2 Categorically Non-Refundable
The following are non-refundable under all circumstances:
• Consultation fees
• Government filing fees paid to state or federal agencies on your behalf
• Fees for services already performed or submitted
• Registered agent fees once the service period has commenced
5.3 Pre-Commencement Cancellations
If you cancel an engagement before any work has begun and before any government fees have been submitted, we may, at our sole discretion, issue a partial or full refund minus any administrative processing costs. This is not guaranteed and is evaluated on a case-by-case basis.
5.4 No Refund for Institutional Rejections
Rejection by a bank, payment processor, the IRS, or any other independent institution does not entitle you to a refund of our service fees. Our obligation is to prepare and structure your application correctly, not to guarantee approval.
5.5 Dispute Resolution Before Chargebacks
You agree to contact us directly at osher@weusaservices.com to resolve any billing concerns before initiating a chargeback or payment dispute with your bank or card issuer. Initiating a chargeback without prior notice and a reasonable opportunity to resolve the matter may be treated as a breach of this Agreement.

We reserve the right to terminate any engagement immediately, with or without notice, if:
• You breach any material provision of these Terms
• We determine your activities are unlawful or present unacceptable compliance risk

15.1 Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of the United States and, to the extent applicable, the laws of the state of Utah, without regard to conflict of law principles.
